Terms of Service

These Terms of Service ("Terms") govern the relationship between Glow Digital (operated by Sophia Pedley, sole trader) and clients who engage Glow Digital for website design, development, and ongoing platform services. By accepting a quote or engaging our services, you agree to these Terms.

1. Services

Glow Digital provides:

• Custom website design and development
• CRM development and integrations
• Ongoing platform services including hosting, maintenance, and support

2. How payments work

• No payment is required to submit a brief, reserve a slot, or accept a quote
• A launch fee becomes due only after you have reviewed and approved the finished build
• Following launch, a monthly platform fee is charged via Stripe on a recurring basis
• The launch fee is typically 20% of the total project value; the remaining 80% is spread across your 10-month minimum commitment at your agreed monthly rate
• Payment schedules are confirmed in your project quote
• Late or missed payments may pause services until resolved

3. Minimum commitment and cancellation

• The minimum commitment period is 10 months from the date of launch
• After the minimum period, the agreement continues on a rolling monthly basis
• Either party may cancel with 30 days written notice after the minimum period has been completed

4. What the monthly platform fee includes

Your monthly fee covers:

• Website hosting on enterprise-grade infrastructure
• SSL certificate and domain management
• Daily backups and security monitoring
• Software and dependency updates
• Access to your Glow Digital client portal for messages, tasks, and invoices

5. What happens when you cancel

• Upon cancellation after the minimum period, your website will remain live until the end of your final paid month
• You own your content (text, images, logos) and these will be provided to you on request
• Glow Digital retains ownership of the codebase, hosting infrastructure, and any custom tooling built for your project
• A static HTML export of your site will be provided free of charge on request, which you may use to rebuild elsewhere
• Glow Digital is not responsible for any costs incurred in migrating to a new provider

6. Intellectual property

• All custom designs, code, and builds remain the property of Glow Digital until the total project value (launch fee plus all minimum period monthly payments) has been paid in full
• Upon completion of the minimum commitment, you own the design and visual assets of your project
• The underlying codebase, infrastructure, and platform remain Glow Digital property at all times
• Any third-party tools, frameworks, fonts, or licensed assets used in your project are subject to their respective licences

7. Client responsibilities

You agree to:

• Provide accurate and timely information for your project
• Review and approve deliverables within reasonable timeframes
• Ensure any content you supply is owned by you or properly licensed

8. Revisions and scope

• Each project includes a defined number of revisions as detailed in your quote
• Changes outside the agreed scope may incur additional fees, which will always be quoted before work begins

9. Limitations of liability

• To the fullest extent permitted by law, Glow Digital shall not be liable for any indirect, incidental, or consequential damages
• Our total liability for any claim shall not exceed the total amount paid by you in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

10. Termination for cause

• Glow Digital may suspend or terminate services immediately if payment obligations are not met after reasonable notice, or if you breach these Terms in a material way
• Deposits and fees paid are non-refundable once work has commenced

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
